• A prominent fashion house required an urgent escrow agreement for an application that managed their e-commerce functionality, an escrow agreement had been specified in the original license but neither party followed up on this requirement. As the agreement was due to be signed the supplier went into administration leaving the licensee in a very difficult situation and with very few options. This example highlights the importance of software escrow agreements and the need for them being set up when software licenses are signed.
